Terms of Service
1. Acceptance of Terms
By accessing or using the collect.live platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Services
collect.live provides live commerce infrastructure including, but not limited to: live stream management across platforms, real-time inventory synchronization, order processing and management, customer communication tools (SMS, email), payout processing, team collaboration features, and analytics. We may modify, suspend, or discontinue any part of the Services at any time with reasonable notice.
3. Account Registration
You must create an account to use the Services. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials and not share them
- Promptly notify us of any unauthorized access to your account
- Accept responsibility for all activity that occurs under your account
4. Connected Platforms & Data
When you connect third-party platforms (e.g., Shopify, streaming services) to collect.live:
- You authorize us to access and synchronize data from those platforms as necessary to provide the Services
- You are responsible for ensuring you have the right to share that data with us
- You remain subject to the terms and policies of those third-party platforms
- We are not responsible for the availability or accuracy of third-party platform data
5. Customer Data & Communications
When you use our customer communication features (SMS, email, messaging):
- You are responsible for obtaining proper consent from your customers before sending communications
- You must comply with all applicable laws including CAN-SPAM, TCPA, CTIA guidelines, and GDPR
- You must honor unsubscribe requests and maintain appropriate opt-out mechanisms
- You will not use the communication tools to send spam, fraudulent, or illegal content
SMS Messaging Terms
The following terms apply specifically to SMS text messaging features provided through collect.live:
- Consent. Customers must provide express written consent before receiving marketing SMS messages. Consent is collected via a web-based opt-in form with a consent checkbox or by texting the keyword JOIN and replying YES to a consent disclosure message.
- Message types. Messages may include promotional content such as new product drop alerts, live stream announcements, exclusive deals, and order-related notifications.
- Message frequency. Message frequency varies and depends on shop activity. Customers are informed of this before opting in.
- Message and data rates. Standard message and data rates may apply as determined by the customer's mobile carrier.
- Opt-out. Customers may opt out at any time by replying STOP to any message. Upon receiving STOP, no further marketing messages will be sent. Customers may rejoin by replying START.
- Help. Customers may reply HELP at any time to receive instructions on how to opt in, opt out, or get support.
- Consent is not required. Consent to receive SMS messages is not a condition of any purchase.
- Third-party provider. SMS messages are delivered by Twilio, a third-party messaging provider. By opting in, customers acknowledge that their phone number and message data will be processed by Twilio in accordance with Twilio's Privacy Policy.
6. Fees & Payments
- Applicable fees are described on our pricing page or in your service agreement
- Transaction fees, platform fees, and payout schedules are as specified in your account settings
- We may change our fees with 30 days’ notice; continued use after notice constitutes acceptance
- You are responsible for any applicable taxes
7. Intellectual Property
Our Property
The Services, including all software, design, branding, and documentation, are owned by collect.live and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Services.
Your Content
You retain ownership of the content you upload, create, or transmit through the Services (product listings, images, stream content). You grant us a limited license to use this content solely to provide and improve the Services.
8. Acceptable Use
You agree not to:
- Use the Services for any illegal purpose or in violation of any laws
- Sell counterfeit, stolen, or prohibited goods
- Interfere with or disrupt the Services or other users’ access
- Attempt to gain unauthorized access to any part of the Services
- Use automated tools to scrape, crawl, or extract data from the Services
- Misrepresent your identity or affiliation with any person or entity
9. Limitation of Liability
To the maximum extent permitted by law, collect.live shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of the Services. Our total liability shall not exceed the fees you paid in the 12 months preceding the claim.
10. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Services will be uninterrupted, error-free, or that any defects will be corrected. We are not responsible for lost sales, inventory discrepancies, or streaming interruptions caused by third-party platform issues.
11. Indemnification
You agree to indemnify and hold harmless collect.live and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
Either party may terminate the account at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Services ceases immediately. We will make your data available for export for a reasonable period after termination.
13. Dispute Resolution
Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with applicable rules, unless you opt out within 30 days of account creation. Small claims court actions are exempt from this arbitration clause.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Services. Continued use after the effective date of changes constitutes acceptance of the updated Terms.
15. General
- These Terms constitute the entire agreement between you and collect.live regarding the Services
- Our failure to enforce any provision is not a waiver of that provision
- If any provision is found unenforceable, the remaining provisions continue in effect
- You may not assign your rights under these Terms without our consent
